Smurfit Kappa Received All Regulatory Approvals for WestRock Acquisition

The completion of the deal now remains subject to the sanction of the Scheme by the Irish High Court.

SEATTLE (Scrap Monster): Leading corrugated packaging company Smurfit Kappa Group plc. announced that it has received all outstanding regulatory clearances for its previously announced combination with WestRock Company. The transaction is now expected to close on 5th July, 2024.

The completion of the deal now remains subject to the sanction of the Scheme by the Irish High Court.

According to company press release, it expects the last day of trading in Smurfit Kappa on Euronext Dublin tomorrow, 2nd July, 2024. Accordingly, the trading in Smurfit Kappa shares on Euronext Dublin will be suspended with effect from 5 PM on 2nd July, 2024. The last day of settlement of final trades placed on Euronext Dublin will be 4th July, 2024. Also, the trading of Smurfit Kappa shares on LSE will come to a close on 5th July.

The Irish Court Hearing is scheduled at 11 AM on 2nd July, 2024. The Scheme Record time is set as 5 PM (New York City Time) on 5th July, 2024. Also, the Scheme Effective Date and Completion has been scheduled for 5th July, 2024.

Smurfit Kappa Shareholders and WestRock Shareholders will be issued Smurfit WestRock Shares after 5 PM (New York City Time) on 5th June. The expected admission and commencement of dealings in Smurfit WestRock Shares on the LSE and NYSE is 8AM and 9.30 AM (New York City Time) respectively on 8th July, 2024.
